- State-licensed issuers can operate under a qualifying state regime up to the statutory issuance cap. Once that threshold is breached, the issuer has 360 days to obtain OCC federal certification or cease new issuance. Any project building tokenization infrastructure at scale should target OCC requirements from the start.
- No. Section 4(a)(11) explicitly prohibits permitted payment stablecoin issuers from paying yield or interest to holders. This bans rebasing token designs, auto-compounding mechanisms, reflection tokens, and any variable-balance ERC-20 pattern. Compliant stablecoins must use fixed-supply ERC-20 semantics with supply changes only on mint and burn operations.
- The statute contains no explicit audit mandate, but OCC proposed rules and BSA classification as a financial institution effectively require audited on-chain architecture. Issuers must demonstrate technical capability to freeze transactions, implement OFAC screening, and maintain AML controls, none of which can be verified without an independent audit.
- Eligible assets include U.S. currency, demand deposits at FDIC-insured institutions, Treasury bills maturing within 93 days, overnight repos backed by short-term Treasuries, and registered government money market funds. Commercial paper, bonds with maturity exceeding 93 days, and other cryptocurrencies are explicitly excluded. Rehypothecation of any reserve asset is prohibited under Section 4(a)(2).
- The GENIUS Act was signed into law July 18, 2025. Full compliance is required by January 18, 2027, or 120 days after federal agencies publish final rules, whichever comes first.
